Terms of Service

1. Acceptance of Terms
By using Lockstry's mobile apps, owner and manager web portal, NFC smart lock hardware,
cloud services, optional facility camera and computer-vision features, or website
(collectively, the "Services"), you agree to these Terms of Service. If you do not agree, do
not use the Services. These Terms should be read alongside our
Privacy Policy.
2. Eligibility
You must be at least 18 years old or have legal authority to use our Services.
3. Account Registration and Authentication
To use the Services, you must create an account. By registering, you agree to the following:

Accurate information: The email address you register with must match the
records your storage facility has on file. If your information does not match, you may not
be able to access your unit.

Authentication methods: We authenticate your identity using an email
sign-in link or one-time code, depending on the part of the Services you use. You may also
enable biometric authentication (Face ID or Touch ID) for convenience - biometric data is
processed entirely on your device and is never sent to Lockstry.

Account security: You are responsible for maintaining the security of
your account and the devices you use to access the Services. Notify us immediately of any
unauthorized access at [email protected].

One account per person: Each person may have only one account. Accounts
are non-transferable.
Facility-management access is role based. An organization owner may access the
organization's facilities and may invite, remove, or update other organization owners and
facility managers, subject to protections for the primary and last active owner. A facility
manager is limited to assigned facilities and permissions. Portal access for a facility
manager is optional, may differ by facility, and must be granted by an authorized
organization owner. Invitations, assignments, permission changes, and revocations are
recorded for security and audit purposes.
If you administer an organization or facility, you are responsible for inviting only people
who are authorized to act for that organization or facility, assigning appropriate
permissions, and removing access when it is no longer needed.
4. Use of Services
You agree to use the Services for lawful purposes only. You may not:

Reverse-engineer, decompile, or modify our software, firmware, or NFC communication
protocols, except to the extent permitted or required by applicable law or an open-source
license governing a particular component, including debugging modifications to that
component.
- Tamper with, damage, or attempt to physically bypass Lockstry smart lock hardware.
- Intercept, forge, or replay NFC communications between your device and a lock.

Attempt to extract, copy, or derive encryption keys used by the locks or backend systems.
- Interfere with the Services' functionality, security, or infrastructure.
- Use the Services to harm others or transmit malicious code.
- Use the Services in violation of applicable laws or regulations.
5. NFC Smart Lock Hardware
Lockstry smart locks are physical hardware installed at your storage facility. By using the
Services, you acknowledge the following:

Facility property: The locks are owned by your storage facility, not by
you or Lockstry. Do not attempt to remove, modify, or tamper with the hardware.

Battery-free design: Lockstry locks are powered by NFC energy from your
phone. They do not contain batteries and require a compatible NFC-enabled device to
operate.

IP66 rated: The locks are designed for outdoor use and are rated IP66 for
dust and water resistance. However, extreme conditions may affect performance.

Report damage: If you notice damage to or malfunction of a lock, report
it to your facility operator promptly.

Digital keys only: Access is provided through encrypted digital keys
delivered to and protected on your device. Authorized credentials may be kept in
device-bound protected storage so that some lock operations can work offline. Temporary
shared credentials remain subject to their expiration.

Remote overlock: Your facility operator has the ability to remotely
overlock your unit, which prevents any digital key from operating the lock until the
overlock is removed.
6. Key Sharing
The Services may allow you to share virtual access keys with other people. If you use key
sharing:

Your responsibility: You are responsible for the actions of anyone you
grant access to through key sharing.

Expiration: Shared keys are issued with an expiration date that you set.

Limited permissions: Shared users have limited permissions and cannot
share access further, modify your account, or initiate a move-out.

Revocation: You may revoke shared access at any time through the app.
7. Move-Out Process
When you move out of your storage unit through the app:

Photos required: You must take photos of your unit as part of the
move-out process. These photos are uploaded to our servers and shared with your facility
operator.

Access revoked: Once you submit the move-out, your digital access keys
are revoked and you will no longer be able to lock or unlock the unit.

Facility receipt: A move-out is not finalized until your facility
operator processes it on their end. Until then, the move-out remains in a pending state.

Photos become facility records: Move-out photos are shared with and
retained by your facility operator as part of the move-out record.

Billing: Submitting a move-out does not guarantee a refund or prorated
credit. Billing adjustments are determined by your facility operator.
8. Payments and Billing
Lockstry is not a payment processor. Billing for your storage unit is handled entirely by
your facility operator through their storage management platform.

Billing display: The app may display billing information provided by your
facility's storage management platform for your convenience. This information originates
from and is controlled by your facility, not Lockstry.

No payment processing: Lockstry does not collect, process, or store
payment card data. Any payments you make for your storage unit are processed through your
facility's payment provider.

Non-payment consequences: If your account with the facility becomes
delinquent, your facility operator may instruct Lockstry to overlock your unit, preventing
access until the balance is resolved.

Billing disputes: Any disputes about charges, refunds, or billing should
be directed to your facility operator, not to Lockstry.
9. Intellectual Property
All software, firmware, NFC communication protocols, hardware designs, and content are owned
by Lockstry or its licensors and are protected by intellectual property laws. You are
granted a limited, non-exclusive, non-transferable, revocable license to use the app and
interact with the lock hardware solely for the purpose of accessing your storage unit. You
may not:
- Copy, distribute, or create derivative works from any part of the Services.

Reverse-engineer the app software, lock firmware, or NFC protocols, except to the extent
permitted or required by applicable law or an open-source license governing a particular
component, including debugging modifications to that component.
- Use Lockstry's trademarks, logos, or branding without written permission.
10. Data and Privacy
Your use of the Services is also governed by our
Privacy Policy, which describes how we collect, use,
share, and protect your personal information. By using the Services, you agree to the
practices described in the Privacy Policy.
11. Facility Portal and Vision
Authorized organization owners and facility managers may use the portal to view and manage
the facilities and features assigned to them. Organization owners may manage team
assignments. Depending on a facility manager's permissions, their access may include access
history, move-out notifications, and optional facility camera viewing. Server-side
authorization applies even when a person opens a direct facility link.
Vision may analyze camera frames on facility-connected equipment to indicate whether a
person or vehicle is visible. Vision does not perform facial recognition or identify any
person. These indicators may be incomplete or inaccurate and must not be used as the sole
basis for emergency, safety, law-enforcement, employment, tenancy, or other consequential
decisions.
The current Lockstry Vision service does not record or retain camera video, frames, clips,
or detection results in Lockstry cloud storage. A facility may separately record and retain
video through its own camera system or network video recorder (NVR). That separate system is
controlled by the facility operator and may be subject to different notices and retention
policies.
12. Service Availability
Mobile lock access requires a compatible NFC-enabled smartphone. Initial sign-in, credential
delivery, account changes, portal use, Vision, and other connected features require an
internet connection. Previously delivered and still-authorized credentials may support some
lock operations while your device is offline. By using the Services, you acknowledge the
following:

No uptime guarantee: While we strive for high availability, we do not
guarantee that the Services will be available at all times. Maintenance, outages, or other
issues may temporarily interrupt access.

Updates: We may update the app, lock firmware, or backend systems at any
time to improve functionality, security, or performance. We will provide reasonable notice
before making material changes that affect how you use the Services.

Device compatibility: Not all phones or device configurations support
NFC. It is your responsibility to ensure your device is compatible.

Offline limitations: An offline device may not immediately receive role,
assignment, credential, overlock, or revocation changes. You should reconnect the app
regularly and before relying on recently changed access. Temporary shared credentials
still expire at their configured time.
13. Termination
Either party may terminate your use of the Services:

By you: You may delete your account through the Settings screen in the
app or by contacting us at [email protected].

By Lockstry: We may suspend or terminate your account for violations of
these Terms, security threats, or other reasonable cause. In cases of serious security
threats, suspension may be immediate and without prior notice.

Effect of termination: Upon termination, server-side access is revoked,
and applicable devices receive instructions to remove or invalidate cached credentials
when they reconnect. Your data will be handled in accordance with our
Privacy Policy.

Lease obligations: Terminating your Lockstry account does not terminate
your lease agreement with your facility. You remain responsible for any obligations under
your lease.
14. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether
express or implied. In particular:

Physical security: Lockstry provides digital lock access technology. We
are not responsible for the physical security of your storage unit or its contents beyond
the operation of the digital lock.

NFC performance: NFC performance may vary depending on your phone model,
phone case, environmental conditions, and other factors outside our control.

Lease agreements: Lockstry is not a party to any lease agreement between
you and your storage facility. We do not control rental terms, pricing, facility policies,
or the condition of storage units.

No guarantee: We do not guarantee uninterrupted, error-free, or secure
operation of the Services at all times.
15. Limitation of Liability
To the maximum extent permitted by law, Lockstry's total liability to you for any claims
arising from or related to the Services is limited to the amount you paid to Lockstry in the
12 months before the claim arose. We are not liable for:
- Indirect, incidental, special, or consequential damages.
- Loss of data, revenue, or profits.
- Device incompatibility or failure to support NFC.
- Loss or theft of your device.
- Actions taken by your facility operator, including overlocking your unit.
16. Governing Law
These Terms are governed by the laws of the State of Delaware. Any disputes arising from
these Terms or the Services will be resolved in state or federal courts located in Delaware.
17. Changes to Terms
We may update these Terms. Significant changes will be notified via email or app. Continued
use constitutes acceptance.
